Abstract: En el último medio siglo, las decisiones sobre la estructura de capital han sido expuestas desde distintos puntos de vista, con el objeto de analizar la incidencia de la misma sobre el valor de una organización, sin embargo, todavía no se ha podido formular de manera precisa la estructura óptima de capital de una empresa. El presente estudio pretende realizar un análisis de la estructura de capital desde el enfoque tradicional, de Modigliani-Miller (MM) (su planteamiento inicial y con corrección de impuestos) y el modelo de Miller. Estos diferentes puntos de vista persiguen un mismo objetivo: la maximización del valor de la empresa a través de la minimización del costo de capital promedio ponderado. En condiciones de un mercado perfecto las decisiones sobre financiamiento son irrelevantes, por el contrario en mercados ineficientes el uso de deuda incrementa el valor de una compañía pero existen otras imperfecciones del mercado que limitan este tipo de financiamiento. El Estado provoca ineficiencia en los mercados al realizar deducciones fiscales en las utilidades de las empresas. Los accionistas y acreedores de la compañía al considerar el pago de impuestos reciben diferentes beneficios dependiendo de la estructura de capital, a causa del Escudo Fiscal. El efecto fiscal aumenta el valor de la empresa, ya que disminuye el costo promedio ponderado de capital. El conflicto de intereses entre accionistas, acreedores y directivos de una empresa obligan al análisis de los costos de agencia en la estructura óptima de capital. Entre estos conflictos se puede mencionar la sustitución de activos, dilución de derecho, cláusulas de protección (obligacionista). Mientras mayor sea el nivel de endeudamiento, mayor es el riesgo de declarar la insolvencia y la quiebra. Estos procesos legales causan varios costos: obsolescencia de inventarios y activos fijos, legales y procesales (costos directos), suspensión pago de dividendos y liquidación de activos valiosos (costos indirectos). Los inversionistas disponen de menos información financiera que los directivos (información asimétrica), lo que ocasiona que los accionistas analicen las señales emitidas por los representantes de la compañía, estas percepciones de la emisión de acciones o de la contratación de deuda en ocasiones suelen ser erradas por lo que inicialmente es mejor la utilización de utilidades retenidas que también suponen un menor costo. Otro criterio para la política de endeudamiento consiste en la maximización de las utilidades, para este efecto se ha estudiado el análisis UAI l-UPA, como este método no considera las preferencias de riesgo de los accionistas, se tratarán algunas las razones de apalancamiento para considerar el riesgo de los diferentes niveles de deuda.
Description: In the last half century, decisions on capital structure have been exposed from different points of view, with the aim of analyze the impact of it on the value of an organization, without However, it has still not been possible to formulate the structure precisely optimal capital of a company. The shareholders and The creditors of the company when considering the payment of taxes receive different benefits depending on the capital structure, because of the Tax shield. The fiscal effect increases the value of the company, since decreases the weighted average cost of capital. The conflict of interest between shareholders, creditors and managers of a company require the analysis of agency costs in the structure optimal capital. Among these conflicts can be mentioned the substitution of assets, dilution of right, protection clauses (bondholder). The higher the level of indebtedness, the greater the risk of declare insolvency and bankruptcy. These legal processes cause several costs: obsolescence of inventories and fixed, legal and procedural assets (direct costs), suspension of dividend payments and liquidation of assets valuable (indirect costs). Investors have les financial information that managers (asymmetric information), what causes shareholders to analyze the signals issued by the representatives of the company, these perceptions of the issuance of actions or debt contracting are sometimes wrong so initially the use of retained earnings is better tan they also mean a lower cost. Another criterion for the debt policy consists in the maximization of profits, for this purpose the analysis has been studied UAI l-UPA, as this method does not consider the risk preferences of the shareholders, some leverage reasons will be discussed for Consider the risk of different levels of debt.
