Personalidad jurídica de la compañía accidental o cuentas en participación y su aplicación en Ecuador

Abstract

El presente trabajo de investigación se centra en la actividad mercantil que se realiza en el país y en las formas de asociarse que existen para ejercerla, tomando como punto principal a la compañía accidental o cuentas en participación, figura que se encuentra prescrita en la Ley de Compañías ecuatoriana, y la cual tiene como objetivo la realización de una o varias actividades comerciales donde el gestor busca inversionistas a los cuales se les llamará partícipes, quienes deberán realizar una aportación y de esta forma tendrán derecho a recibir una utilidad producto de lo realizado por dicho gestor. En todas las legislaciones revisadas para la elaboración del presente trabajo, pude ver que la normativa es muy parecida a la que tenemos en nuestro país. Sin embargo en mi criterio, lo definido por la legislación argentina nos hace entender con mayor claridad cuál es la función de la compañía accidental o cuentas en participación y sus características principales que la diferencian con respecto a los otros tipos de sociedades. La compañía accidental o cuentas en participación, al ser una figura sui generis por la forma de creación que tiene, así como, por su falta de solemnidades, puede ser aplicada para la realización de varios negocios o actos comerciales de corta data y rápida ejecución, en donde se mantiene oculta la identidad de los partícipes, quienes no actúan de una forma activa en el negocio, sino que, solo se encargan de dar la aportación que les corresponde y de percibir la utilidad en caso de haberla. Al realizar una comparación entre los tipos de compañías aplicados en Ecuador y la compañía accidental o cuentas en participación con las ventajas o beneficios que estos representan, se busca potenciar y aplicar ésta figura jurídica con mayor frecuencia por parte de personas naturales o personas jurídicas interesadas en invertir dinero, para al final obtener un lucro que represente a esa aportación realizada.

The present research work focuses on the commercial activity that takes place in the country and in the forms of association that exist to exercise it, taking as a main point the accidental company or accounts in participation, figure that is prescribed in the Law of Ecuadorian companies, and which has as its objective the realization of one or several commercial activities where the manager looks for investors who will be called participants, who must make a contribution and in this way they will be entitled to receive a utility product of what was done by said manager. In all the legislations reviewed for the preparation of this work, I could see that the The regulations are very similar to the ones we have in our country. However, in my opinion, what defined by the Argentine legislation makes us understand more clearly what is the function of the accidental company or joint accounts and their main characteristics that the They differ with respect to the other types of companies. The accidental company or accounts in participation, being a sui generis figure by the way of creation that you have, as well as, for your lack of solemnities, can be applied for the completion of several business or short-term commercial events and rapid execution, where the identity of the participants is kept hidden, who do not act in an active way in the business, but they are only responsible for giving the contribution that corresponds to them and for perceiving the utility if there is one. When making a comparison between the types of companies applied in Ecuador and the company accidental or participation accounts with the advantages or benefits that these represent, seeks to promote and apply this legal concept more frequently by people natural or legal persons interested in investing money, in order to finally obtain a profit that represent that contribution made.
